The purpose of the PTO Council is
to promote the welfare of students in the home, school, and
community. The Council works to strengthen and unify the individual
group members by acting as liaison between the Board of Education,
educators, and the general public, to assure for all students the highest
advantages in mental, physical, social, and citizenship education.
The PTO Council is the chartering
organization for the Boys Scouts of America in the Grosse Pointe Public Schools.

BYLAWS

Article I - Name
The name of this
organization shall be the Grosse Pointe PTO and Associated Groups Council.
Article II - Articles
of Organization
The Council exists
as an unincorporated association of its members. In the absence of
separate articles of association, the bylaws, as from time to time
amended, shall be deemed to be the articles of association. In the event
of any conflict between these bylaws and future articles of association,
these bylaws shall govern.
Article III - Purpose
Section 1: The purpose
of the Council shall be to promote excellence in the academic, physical,
social, and emotional education for all students at school, home, and in
the community.
Section 2: The Council will work to strengthen and unify the
individual PTO's and Associated Groups comprising the Council.
Article IV -Policies
Section 1: The Council
shall be non-commercial, non-sectarian, and non-partisan. It shall not
endorse any commercial enterprise or any candidate for elected office. The
name of the Council or names of any members shall not be used in any
connection with a commercial concern or for any purpose other than the
regular work of the Council.
Section 2: The Council shall not, directly or indirectly,
participate or intervene in any way, including the publishing or
distributing of statements, in any political campaign on behalf of or in
opposition to any candidate for public office.
Section 3: The Council may choose to participate directly in
worthwhile
community projects and to take a position on significant educational
issues; including school millages and bond propositions.
Article V - Membership
and Dues
Section 1: Membership
in the Council shall consist of the Parent Teacher Organizations, Booster
Clubs, and/or any student/family organization recognized by the Grosse
Pointe Public School System. Each unit shall have two representatives to
the Council, consisting of the unit President and one elected or appointed
representative. In case of a vacancy in the membership from any unit, the
Executive Committee of the unit shall fill the vacancy until the next
regular election or appointment by the unit.
Section 2: The annual membership dues of the Council shall be $25,
payable before November 1 of each school year.
Section 3: Assessments of member units may be made to cover the
operation expenses of the Council and/or its standing committees subject
to the approval of the Council and ratification by the Executive Committee
of two/thirds (2/3) of the member units.
Section 4: In the event of total and complete dissolution of the
Grosse Pointe PTO and Associated Groups Council, any and all funds held by
the Council shall immediately vest and revert to the Grosse Pointe
Foundation for Academic Enrichment.
Article VI - Officers
and Their Election
Section l: The
officers of the Council shall be President, Vice-President,
Secretary, and Treasurer elected by a ballot for the term of two years.
The Executive Committee of the Council shall fill vacancies in offices for
the balance of the term of office, subject to the approval of the Council,
and not subject to term limitations. In order to provide continuity
in officer positions, the President and Treasurer shall be elected for
two-year terms beginning with the annual meeting following or coincidental
with the adoption/amendment of these bylaws. The Vice-President and
Secretary shall be elected for two-year terms at the next annual meeting.
Thereafter, the President and Treasurer, the Vice-President and Secretary
shall be elected at alternate annual meetings for two-year terms.
Section 2: The nomination of officers shall be made by the
Nominating Committee consisting of at least three members representative
of the elementary, middle and high schools, however not to include
outgoing officers. The President shall appoint the Nominating Committee.
Additional nominations may be made from the floor at the annual meeting,
but only with the consent of the named nominee. Only current members of
the units in the Council membership shall be eligible for office. No
officer shall be eligible for the same office for more than two
consecutive terms.
Section 3: Notice of
the annual meeting and a copy of the report of the
Nominating Committee shall be sent by the Secretary to all representatives
of the Council at least fifteen (15) days before the annual meeting,
usually held in May.
Article VII - Duties of
Officers
Section 1: The
President shall distribute an agenda of business and preside at all
meetings of the Council and of the Executive Committee; shall appoint
chairpersons of standing committees; and shall coordinate the activities
of the Council.
Section 2: The Vice-President shall preside in the absence of the
President and shall assist the President as necessary.
Section 3: The Secretary shall keep minutes of all meetings; shall
notify chairpersons of committees of their appointments; and shall
handle necessary
correspondence. The Secretary shall keep an accurate roster consisting of
the names of the units in membership and the names and address of their
representatives. A report shall be filed at each regular meeting.
Section 4: The Treasurer shall be responsible for all funds
belonging to the Council; shall collect all dues and assessments; and
shall maintain a depository account for these funds. A report shall be
filed at each regular meeting.
Article VIII - Meetings
Section 1: The Council
shall hold a minimum of four (4) regular meetings each academic school
year. The annual meeting, usually held in May, at which time the
designated officers shall be elected, with their terms of office to
commence immediately. Special meetings may be called by the President or
by a majority vote of the members of the Executive Committee on 5 days'
notice to the member units.
Section 2: The regular meeting shall be held the first Tuesday of
that month.
Section 3: At least one representative from a majority of the
member units in the Council and two members of the Executive Committee
shall constitute a quorum at any regular or special meeting of the
Council.
Section 4: Although
the meetings of the Council shall be open to all the members of its units,
the voting body of the Council shall consist of the Executive Committee
and the official representatives of the member units.
Section 5: The Principal or President of a member unit may be
appointed as an official representative or may serve as an alternate in
the absence of one or both of that unit's official representatives. A
member unit, on a given motion, may cast no more than two votes, nor may
any representative cast more than one vote on a given issue.
Section 6: Representatives from member units whose Council dues
and/or assessments are in arrears by more than 30 days shall not
participate in the business sessions of the Council.
Article IX - Executive
and Standing Committees
Section 1: The elected
officers of the Council and the Superintendent of
Schools or his/her representative shall constitute the Executive
Committee.
Section 2: Such standing and special committees shall be created by
the
Executive Committee as may be required to promote the bylaws stated
purpose of the Council. The officers of the Council, with the approval of
the membership, shall appoint the chairpersons of those committees. Their
term shall be for a period of one year.
Section 3: The chairpersons of all standing and special committees
shall
present plans of work to the Executive Committee and no committee work
shall be undertaken without the approval of the Executive Committee.
Section 4: The
Executive Committee shall transact all business referred to it by the
Council and shall act in emergencies between the regular meetings of the
Council.
Section 5: Vacancies occurring in the Council offices shall be
filled by the Executive Committee for the balance of that term of office.
Section 6: A majority of the members of the Executive Committee
shall
constitute a quorum for the transaction of business.
Article
X - Parliamentary Authority
Robert's Rules of Order
Revised shall govern the Council in all cases to which they are
applicable, and in which they are not inconsistent with these bylaws. The
President shall preside over all meetings of the Council in accordance,
and in the absence of the President, the order of succession shall be
Vice-President, Secretary, and Treasurer.
Article XI - Amendments
These bylaws may be amended
by a majority vote of the representatives at any regular meeting of the
Council, at which a quorum is present. At least 10 business days' notice
of such proposed amendments shall be given in writing to each member unit
of the Council; and subject to ratification by the Executive Committee and
two-thirds (2/3) of the member units and reported to the Council at the
next regular meeting.
Article XII - Review of
Bylaws
These bylaws shall be
reviewed every five (5) years.
